Terms of Service

Last Updated: January 2026

1. Agreement to Terms

1.1 These Terms of Service (“Terms”) form a binding agreement between you and LIGT Technology & Services Limited (RC [RC Number]), a company registered in the Federal Republic of Nigeria with its office at [Registered Address], Akwa Ibom, Nigeria (“LIGT”, “we”, “us”, “our”).

1.2 These Terms govern your access to and use of the LIGT mobile application, website (including ligtx.com.ng), and related delivery services (together, the “Platform” or “Services”).

1.3 By creating an account, accessing or using the Platform, placing an order, or booking a courier, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

1.4 If you use the Platform on behalf of a business, you confirm you have authority to bind that business, and “you” includes that business.

2. Definitions

  • Consumer: a person who uses the Platform to order goods or book courier services.
  • Merchant: an independent restaurant, grocery store, provisions seller, or other vendor listed on the Platform.
  • Rider: an independent courier who accepts delivery requests through the Platform.
  • Order: a request for goods from a Merchant, delivered by a Rider.
  • Parcel Delivery: a point-to-point courier request where you send an item from one location to another.
  • Delivery Fee: the charge for transporting an Order or Parcel.

3. About LIGT Services

3.1 LIGT is a technology platform that connects Consumers, Merchants, and Riders. LIGT facilitates:

  • Orders for meals, groceries, and provisions from local sellers.
  • Point-to-point courier and parcel deliveries within supported towns and cities.
  • Live trip tracking and digital transaction receipts.

3.2 LIGT is not a Merchant, and is not a courier company in its own right. Unless expressly stated otherwise:

  • Merchants are independent businesses responsible for their goods, including quality, preparation, packaging, labelling, allergen information, pricing of goods, and legal compliance.
  • Riders are independent contractors, not employees, agents, or partners of LIGT.
  • The contract for the sale of goods is between you and the Merchant. The contract for the delivery is between you and the Rider, facilitated by LIGT.

3.3 Service availability, delivery zones, operating hours, and delivery times vary. Estimated delivery times are estimates only and are not guaranteed.

4. User Accounts and Eligibility

4.1 You must be at least 18 years old and legally capable of entering a binding contract to register an account and place orders.

4.2 You agree to:

  • provide accurate, current, and complete information (name, phone number, delivery address);
  • keep your account credentials, OTPs, and PINs secure and confidential;
  • notify us immediately at support@ligtx.com.ng of any unauthorised use of your account.

4.3 You are responsible for all activity under your account unless you have notified us of unauthorised access and we have had a reasonable opportunity to act.

4.4 One person may hold one account. You may not sell, transfer, or share your account.

4.5 We may suspend or terminate your account, with or without notice, if we reasonably believe you have breached these Terms, engaged in fraud, abused Riders or Merchants, or created risk for the Platform or others.

5. Orders, Pricing, and Payments

5.1 Pricing. Prices for goods, delivery fees, service fees, and applicable taxes (including VAT where applicable) are displayed before you confirm an Order. Prices are in Nigerian Naira (₦) unless stated otherwise.

5.2 Order confirmation. Submitting an Order is an offer to purchase. An Order is accepted once confirmed by the Merchant and assigned to a Rider. We may decline or cancel any Order (for example, item unavailability, incorrect pricing, suspected fraud, or Rider unavailability).

5.3 Payment authorisation. By submitting an Order, you authorise LIGT and its secure third-party payment processors to collect the total amount shown, using your chosen payment method. LIGT does not store full card details. Card and payment data are handled by PCI-DSS compliant processors.

5.4 Payment methods. We may offer card, bank transfer, wallet, USSD, or (where available) cash on delivery. Cash on delivery may be restricted or withdrawn for accounts with a history of non-payment or failed deliveries.

5.5 Failed or disputed payments. If a payment fails or is reversed, we may cancel the Order, suspend your account, and recover unpaid amounts.

5.6 Price changes. Merchants may update prices. The price you see at confirmation is the price you pay for that Order.

5.7 Tips. Any tip you give a Rider goes to the Rider, less applicable payment processing charges, if any.

5.8 Promotions. Promo codes, credits, and discounts are subject to their stated terms, have no cash value, cannot be combined unless stated, and may be withdrawn for misuse.

6. Cancellations, Refunds, and Failed Deliveries

6.1 Cancellation by you. You may cancel an Order before the Merchant begins preparing it or before a Rider has picked up a Parcel. After that point, cancellation may not be possible and you may be charged in full or in part.

6.2 Cancellation by us or the Merchant. If we or the Merchant cancel an Order, you will be refunded amounts paid for the cancelled Order.

6.3 Order problems. If your Order is missing items, incorrect, damaged, or materially not as described, report it through the app or at support@ligtx.com.ng within 24 hours of delivery, with supporting details (photos where possible). We will investigate and may offer a refund, credit, or redelivery at our reasonable discretion.

6.4 Refunds. Approved refunds are returned to the original payment method or as LIGT credit, and may take up to 7 to 14 business days depending on your bank or payment processor.

6.5 Failed delivery. If we cannot complete delivery because you are unreachable, provide an incorrect address, are not present, or refuse the Order without valid cause, the Order may be treated as delivered and no refund is due. Perishable items cannot be returned or resold.

6.6 Wait time. Riders may wait a reasonable period at the drop-off location. Extended waiting may result in cancellation or additional charges.

6.7 Nothing in this section limits your rights under applicable Nigerian consumer protection law, including the Federal Competition and Consumer Protection Act 2018.

7. Courier Parcels and Prohibited Items

7.1 When requesting a Parcel Delivery, you confirm that you are the owner of the item or authorised to send it, and that the contents are lawful.

7.2 You agree not to send:

  • hazardous, flammable, explosive, corrosive, toxic, or radioactive materials;
  • illegal goods, including narcotics, controlled substances, counterfeit goods, and weapons or ammunition;
  • stolen items or items obtained unlawfully;
  • live animals, human remains, or body parts;
  • large sums of cash, negotiable instruments, jewellery, precious metals or stones, or other high-value items, unless expressly permitted by LIGT;
  • items that are indecent, obscene, or that infringe intellectual property rights;
  • packages that exceed the standard motorbike transport capacity or cannot be safely carried;
  • any item whose transport is restricted or prohibited by Nigerian law.

7.3 Right to inspect and refuse. Riders and LIGT may refuse, cancel, or stop delivery of any parcel we reasonably suspect breaches this section. We may report suspected illegal activity to law enforcement and cooperate with lawful requests.

7.4 Packaging. You are responsible for proper packaging. LIGT is not liable for damage caused by inadequate packaging.

7.5 Recipient details. You must give accurate pickup and drop-off details and ensure the recipient is reachable. You are responsible for informing the recipient of the delivery.

7.6 Your responsibility. You are liable for any loss, damage, fines, or claims arising from prohibited items you dispatch, and you agree to indemnify us as set out in Section 12.

8. Rider and Merchant Relationships

8.1 Riders and Merchants act independently. LIGT does not prepare, inspect, or control goods, and does not direct how Riders perform deliveries beyond providing the Platform.

8.2 You agree to treat Riders and Merchants with respect. Harassment, threats, discrimination, violence, or abusive behaviour will result in account suspension or termination and may be reported to authorities.

8.3 Food safety and allergies. If you have allergies or dietary requirements, contact the Merchant directly before ordering. LIGT does not verify ingredient or allergen information.

8.4 Age-restricted items. If any age-restricted product is offered (for example, alcohol), you confirm you are of legal age, and the Rider or Merchant may request ID at delivery.

9. Live Tracking, Receipts, and Communications

9.1 You consent to LIGT using your device location to enable ordering, live tracking, and accurate delivery, as described in our Privacy Policy. You may disable location permissions in your device settings, but some features may then not work.

9.2 Digital receipts are issued for completed transactions and are available in the app.

9.3 By using the Platform, you agree to receive service messages (order updates, arrival alerts, security notices) by push notification, SMS, WhatsApp, email, or in-app. Marketing messages are sent only where permitted by law and you can opt out at any time.

9.4 Calls or in-app chats between you, Riders, and Merchants may be routed through the Platform and may be recorded or monitored for safety, quality, and dispute resolution.

10. Acceptable Use

You agree not to:

  • use the Platform for unlawful, fraudulent, or deceptive purposes;
  • provide false information, false claims for refunds, or misuse promotions;
  • interfere with, disrupt, or attempt to gain unauthorised access to the Platform, servers, or other users' accounts;
  • reverse engineer, scrape, copy, or resell any part of the Platform;
  • use bots, automated tools, or fake accounts;
  • circumvent the Platform to avoid fees when connected to a Merchant or Rider through LIGT;
  • upload harmful code or content that is unlawful, defamatory, or infringes rights of others.

11. Intellectual Property

11.1 The Platform, including software, design, logos, trademarks, content, and data compilations, is owned by or licensed to LIGT and protected by Nigerian and international intellectual property law.

11.2 We grant you a limited, revocable, non-exclusive, non-transferable licence to use the app and website for personal, lawful use in accordance with these Terms.

11.3 If you submit reviews, ratings, or feedback, you grant LIGT a worldwide, royalty-free, perpetual licence to use that content to operate and improve the Platform, without identifying you personally unless you consent.

12. Disclaimers, Limitation of Liability, and Indemnity

12.1 Platform provided “as is”. To the fullest extent permitted by law, the Platform is provided “as is” and “as available”. We do not warrant uninterrupted, error-free, or fully secure operation.

12.2 No liability for third parties. LIGT is not responsible for the quality, safety, legality, or accuracy of goods sold by Merchants, or for acts and omissions of Merchants or Riders, except where liability cannot be excluded by law.

12.3 Limitation. To the maximum extent permitted by law, LIGT will not be liable for indirect, incidental, special, or consequential losses, including loss of profit, revenue, data, or goodwill. LIGT's total liability for any claim arising from an Order or Parcel Delivery is limited to the amount you paid for that Order or delivery.

12.4 Parcel value. Unless you have declared value and paid for cover (where offered), we are not liable for loss or damage to parcel contents beyond the limit above.

12.5 Exceptions. Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud, or any liability that cannot lawfully be excluded or limited.

12.6 Indemnity. You agree to indemnify and hold harmless LIGT, its directors, employees, and partners from claims, losses, fines, and expenses (including reasonable legal fees) arising from your breach of these Terms, your prohibited items, your violation of law, or your misuse of the Platform.

12.7 Force majeure. LIGT is not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, floods, fuel scarcity, road closures, protests, curfews, strikes, network outages, government action, or third-party system failures.

13. Third-Party Services

The Platform may link to or integrate third-party services (maps, payments, messaging). Their use is governed by their own terms, and LIGT is not responsible for them.

14. Suspension and Termination

14.1 You may stop using the Platform and request account deletion at any time by contacting support@ligtx.com.ng.

14.2 We may suspend or terminate access at any time for breach, suspected fraud, safety concerns, legal requirements, or extended inactivity.

14.3 Termination does not affect accrued rights, unpaid amounts, or provisions that by nature should survive (including Sections 5, 7, 11, 12, 15, and 16).

15. Governing Law and Dispute Resolution

15.1 These Terms are governed by the laws of the Federal Republic of Nigeria.

15.2 Informal resolution first. Contact support@ligtx.com.ng and give us 30 days to try to resolve any dispute.

15.3 Arbitration. If unresolved, the dispute will be referred to arbitration in Akwa Ibom, Nigeria, under the Arbitration and Mediation Act 2023, before a sole arbitrator appointed by agreement or, failing that, by the [Chartered Institute of Arbitrators (UK), Nigeria Branch]. The language is English and the decision is final and binding.

15.4 Either party may seek urgent injunctive relief from the courts of Akwa Ibom State. Nothing in this section removes your right to complain to a regulator, including the Federal Competition and Consumer Protection Commission (FCCPC) or the Nigeria Data Protection Commission (NDPC).

16. General

  • Changes: We may update these Terms. Material changes will be notified in the app, by email, or by SMS. Continued use after the effective date means acceptance.
  • Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and LIGT on this subject.
  • Severability: If any provision is unenforceable, the rest remains in effect.
  • No waiver: Failure to enforce a right is not a waiver.
  • Assignment: You may not assign these Terms. LIGT may assign them in connection with a merger, acquisition, or sale of assets.
  • Notices: We may send notices to the contact details in your account.
